Our private equity lawyers function in three areas: leveraged buyouts, venture capital and fund formation. We assist our clients in structuring, fund raising, realizing investments via flotation, trade sales, carried interest and other employee incentives, secondaries and spin-offs and establishment of new private equity houses. Additionally, we also advise mezzanine providers and sponsors on leveraged financings.

We handle venture capital and other early-stage financings and transactions involving private equity funds and specialized financings in both domestic and international contexts. We assist in evaluating and selecting suitable company for investing venture capital funds and determining investment criteria. We draft memorandum of understanding between venture capitalists and investee companies, shareholders agreements, advice/opinion on SEBI regulations and capital gains and tax issues, etc. We represent private equity clients, general investors in fund formation and fund investment in companies.
